3. Consulting services
Proposals and Agreements. A proposal is valid for 30 days unless it says otherwise. An engagement starts when both parties have accepted an Agreement in writing (email is sufficient).
Fees and payment. Fees are stated in Norwegian kroner (NOK) excluding VAT, unless otherwise agreed. We invoice monthly in arrears / as set out in the Agreement. Payment is due 14 days from the invoice date. Late payment accrues interest under the Norwegian Late Payment Interest Act (Forsinkelsesrenteloven). Reasonable pre-approved travel and other expenses are invoiced at cost.
Rescheduling and cancellation. You may reschedule a workshop or session free of charge up to 10 working days before it takes place. For later cancellations we may charge 50 % of the agreed fee, and 100 % for cancellations within 2 working days, plus non-refundable costs already incurred. Either party may end an ongoing engagement with 30 days' written notice; work performed up to that date is invoiced.
Client responsibilities. You provide timely access to the people, information and systems we reasonably need, and you are responsible for the accuracy of what you provide. Delays caused by missing input may affect timelines and fees.
Confidentiality. Both parties keep the other party's non-public business information confidential during the engagement and for 10 years after it ends. This does not apply to information that is public, already known, or must be disclosed by law.
Rights to Deliverables. Once paid in full, you may use the Deliverables freely within your organisation. We keep ownership of our pre-existing methods, frameworks, tools and know-how, and may reuse general knowledge gained, without disclosing your confidential information.
References. We will only name you as a client or use a case description with your prior consent.
4. AI-specific terms
Advice, not guarantees. We give professional recommendations based on the information available and current good practice. We do not guarantee specific business results, cost savings or returns from adopting AI.
Your decisions. You decide whether and how to implement our recommendations. You remain responsible for your use of AI systems, including compliance with GDPR, the EU AI Act and sector rules that apply to your business.
AI output. AI tools can produce inaccurate or biased output. Output from any AI tool used in or after an engagement should be reviewed by a qualified person before it is relied on.
Third-party tools. Where we recommend or demonstrate third-party AI tools, those tools are governed by their providers' own terms. We are not responsible for their availability, pricing, performance or data handling.
Our own use of AI. We may use AI tools to support our work, for example for drafting and analysis. We will not enter your confidential or personal data into AI tools that use it for model training, and all Deliverables are reviewed by us before delivery.
5. Liability
We carry out the Services with reasonable skill and care. If we breach an Agreement, our total liability is limited to the fees paid for the engagement in question during the 12 months before the claim arose.
We are not liable for indirect or consequential loss, such as lost profit, lost data, lost savings or third-party claims. These limits do not apply to loss caused by gross negligence or wilful misconduct, or where mandatory law does not allow them.
We are not liable for delays or failure caused by circumstances beyond our reasonable control (force majeure).
6. Privacy and cookies
We process personal data in line with our Privacy Policy and use cookies as described in our Cookie Policy. Where we process personal data on a Client's behalf, a separate data processing agreement will be signed.
7. Changes to these terms
We may update these terms from time to time. The version published on the Website applies to Website use. For ongoing engagements, the version in force when the Agreement was signed applies unless both parties agree otherwise.
8. Governing law and disputes
These terms and any Agreement are governed by Norwegian law. The parties will first try to resolve disputes through dialogue. If that fails, disputes go to the ordinary courts, with Oslo or “Ringerike og Hallingdal” tingrett (district court) as the agreed venue.
